IziMarket Public Agreement for Buyers
Version of October 24, 2026
This is a translation; in case of discrepancy the Russian text prevails. Russian original
This IziMarket Public Agreement for Buyers (the “Agreement”) is a public offer by Fitvana Limited, a private limited company registered under the laws of Hong Kong (Business Registration Number 79698379), registered office address: 18 Harbour Road, 35/F, Central Plaza, Wanchai, Hong Kong Island, Hong Kong (the “Operator”), addressed to any User who purchases or intends to purchase Products on the Platform (the “Buyer”). The offer expresses the Operator's intention to consider itself to have concluded an agreement on the terms set out below with anyone who accepts it in the manner established by the Agreement. The Operator and the Buyer are jointly referred to as the “Parties”.
Under the Agreement, the Operator undertakes to provide the Buyer with information technology services of the Platform: providing access to the catalog of Listings and to the Platform's functions, ensuring the technical possibility of concluding and performing Deals, organizing settlements under Deals by means of the Safe Deal, keeping records of the Balance, and ensuring the consideration of disputes under Deals and the operation of the support service (the “Platform Services”). The Agreement also sets out the terms of Deals that are binding on the Buyer and the Seller by virtue of the Rules and the Seller Agreement. This Agreement is a mixed contract: the provision of the Platform Services is governed by the rules on the provision of services, taking into account that these services are provided free of charge; the terms on reviews and other materials of the Buyer, by the rules on license agreements (clause 18.6); and the terms of Section 4, by the legislation on electronic signatures.
The Platform Services are provided to the Buyer free of charge. The Operator's remuneration is paid by the Seller in the manner set out in the Seller Agreement. The Buyer pays the Product price stated in the Listing and, when choosing a payment or top-up method for which the Payment Partner charges a fee, also that fee (clause 7.6).
The relations of the Parties concerning the organization of settlements under a Deal are governed by Section 9 and, to the extent not regulated by it, by the rules of the applicable law on conditional performance of an obligation and on performance of an obligation without any further expression of will of the parties through the use of information technologies.
The Agreement is the Public Agreement for Buyers provided for in clause 1.1 of the General Rules of the IziMarket Platform (the “Rules”) and forms part of them. Capitalized terms are used in the meaning given to them in the Rules unless the Agreement defines them otherwise. In the relations between the Operator and the Buyer and in relations under a Deal, the Agreement prevails over the Rules (clause 1.1 of the Rules). In all matters not regulated by the Agreement, the Rules apply. The name of the Agreement reflects the procedure for its conclusion by acceptance of a public offer;
The Agreement between the Operator and the Buyer is formed only by the following documents published on the Platform, in the version in effect at the moment the relevant legally significant action is performed:
- the Agreement and its Appendices;
- the Rules (the General Rules);
- the Privacy Policy and the Cookie Policy (clause 1.1 of the Rules);
- the Section rules and the terms of the Listing communicated to the Buyer before payment for the Product.
Reference materials, answers to frequently asked questions, and advertising and other informational materials of the Operator are not part of the Agreement, are provided for information only and do not change its terms.
The terms of the Listing and the Seller's representations given to the Buyer on the Deal page are terms of the Deal. In relations between the Buyer and the Seller, they prevail over the Agreement if they give the Buyer more rights. They do not give rise to any obligations of the Operator.
The Agreement is drawn up in Russian. The English translation is provided for reference only. In the event of any discrepancy between the texts, the Russian text prevails (clause 1.4 of the Rules).
The Operator keeps on the Platform the current version of the Agreement and all previous versions, stating the period during which each of them was in effect, for at least three years after the end of that period. The Deal page indicates the version of the Agreement that applies to the Deal. The Buyer may review these versions and save a copy of them at any time.
If the Operator does not have the technical ability to keep previous versions of the Agreement stating the period during which they were in effect, such versions are kept in the Operator's archive for a retention period not shorter than the period established by clause 1.8 of the Agreement. This provision does not exclude the right to request such versions.
Section headings are given for convenience and do not affect the interpretation of the Agreement. The words “in particular” and “including” introduce a non-exhaustive list. Terms in the singular include the plural and vice versa.
Buyer: a User who purchases or intends to purchase a Product on the Platform.
Consumer Buyer: a person who falls within the meaning of the term Buyer and purchases Products solely for personal, family, household and other needs not related to business activity.
Business Buyer: a person who falls within the meaning of the term Buyer and is a legal entity or an individual entrepreneur, as well as any person who purchases Products for business activity, that is, independent activity carried out at its own risk and aimed at the systematic generation of profit, including for resale.
The Operator also treats as a Business Buyer a person who systematically purchases objects of civil rights for amounts that give reasonable grounds to assume that such person is engaged in business activity, unless the Buyer states otherwise by sending reasoned explanations to the Operator.
Account: the Buyer's user account on the Platform. The word “account” written in lowercase means a user account in a game or service that is a Product.
Deal page: the area of the Platform that is created when a Product is paid for and shows the Deal number, the Product, the Seller, the price and the amount paid, the Deal Periods, the status, the Product data, the Deal chat and the timeline of events.
Deal Periods: the delivery period (the period within which the Seller must deliver the Product), the inspection period (the period after delivery during which the Buyer checks that the Product conforms to the Listing) and the Guarantee period. The Deal Periods are stated in the Listing and on the Deal page (clause 9.2 of the Rules).
Deal Log: records of the events of a Deal that are generated automatically by the Platform software, with the date and time of each event, including payment, transfer of the Product data, opening of the Deal page, messages in the Deal chat, confirmation of receipt, opening and consideration of a dispute, and transfer and return of funds.
Top-up: funds deposited by the Buyer through the Payment Partner for subsequent payment for Products on the Platform and shown on the Balance.
Business day: a day that is not a weekend or a non-working public holiday under the laws of the Russian Federation.
All periods under the Agreement and on the Platform are calculated in Moscow time. A period calculated in days expires at 23:59 on its last day. A period calculated in hours expires when the specified number of hours has elapsed from the moment of the event with which its start is associated.
Acceptance of the Agreement is deemed to be the performance by the User, on the first payment for a Product or the first Top-up, of both of the following actions: ticking the box “I accept the Public Agreement for Buyers” and clicking the confirmation button. Acceptance means acceptance of the Agreement in full. Acceptance of the Agreement on any other terms is not permitted. The Agreement is deemed concluded at the moment the Operator receives the acceptance, which is recorded by the Platform software.
The Agreement is concluded in electronic form. The written form is deemed to have been complied with.
The Agreement is concluded in the same manner when a Product is paid for without signing in to an Account, if such payment without signing in to an Account is technically available and has been introduced by the Operator (clause 1.2 of the Rules); in this case, the box referred to in clause 3.1 is ticked on the payment page.
A Buyer may be a person who has reached 18 years of age and has full legal capacity, as well as an individual entrepreneur or a legal entity (clauses 4.1, 4.3 of the Rules). A legal entity and an individual entrepreneur act through representatives. The authority of a person performing actions from the Account of a Business Buyer is evident from the circumstances in which that person acts.
If the Operator becomes aware that the Buyer has not reached 18 years of age, the Operator may restrict purchases and Top-ups using the Account and may also restrict access to the Account indefinitely. Open Deals of such a Buyer are completed or are cancelled at the request of that Buyer's legal representative. Amounts to be returned and the Balance funds are paid out to the Buyer's legal representative by way of withdrawal of funds from the Platform.
The Buyer gives the Operator the following representations about circumstances that are material to the conclusion and performance of the Agreement:
- the Buyer has reached 18 years of age and has legal capacity sufficient to conclude the Agreement and Deals;
- the Buyer acts in its own interests and pays with its own payment instruments and with money obtained on lawful grounds;
- the purchase and use of the Product are not prohibited by the laws of the country of the Buyer's location or residence (clause 4.4 of the Rules);
- the information provided by the Buyer on the Platform is accurate.
The Operator relies on these representations. If a representation proves to be untrue, the Buyer compensates the Operator for the losses caused as a result. If the untrue representation was material to the Operator, the Operator may withdraw from the Agreement in the manner set out in clause 20.3.
Each Deal is concluded between the Buyer and the Seller. A Listing is a public offer by the Seller, and the Buyer's payment for the Product is its acceptance. A Deal is deemed concluded at the moment it is assigned the status “paid” on the Platform. The content of a Deal is determined by the Listing, the Section rules, the Agreement and the Rules.
The Parties have entered into an agreement on the use of a simple electronic signature. The key of the simple electronic signature is the means of access to the Account (clause 5.4 of the Rules) and, when signing in through a third-party service, authentication through that service (clause 5.6 of the Rules). A document is signed by clicking the “Buy” button or another button expressing the Buyer's will from an Account signed in to using the key.
Clicking the “Buy” button or another button under clause 4.1 from the Account means that the Buyer has signed with a simple electronic signature its decision to conclude a Deal with the Seller on the terms of the Listing. Confirmation of receipt of a Product, the opening and closing of a dispute and a request for the return of Balance funds are signed in the same way, by clicking the corresponding buttons. The person who clicked the button is identified by the Account: its identifier and the linked email address. Such a click is equivalent to a handwritten signature on paper (clause 5.6 of the Rules).
The Buyer must keep the code from the email, the password and the authenticator app codes secret, must not pass them on to third parties, including persons claiming to be employees of the Operator, and must take reasonable measures to protect its devices and email address. The Operator does not ask Buyers for codes or passwords (clause 5.4 of the Rules).
If there are grounds to believe that a third party has gained access to the Account, the Buyer immediately notifies the Operator through the support service chat or at admin@lolz.team (clause 5.7 of the Rules). The Operator restricts operations on the Account and/or access to the Account within a reasonable time needed to verify the notice. Actions performed from the Account before operations are restricted or before that time expires are deemed to be actions of the Buyer.
If the Operator becomes aware of a security breach affecting the Buyer's Account, it notifies the Buyer of this within a reasonable time and informs the Buyer of the measures to be taken.
If, on a reasonable assessment, the security breach may cause losses to the Buyer, the Operator or other persons, the Operator may restrict operations on the Account and/or access to the Account until the Buyer eliminates the causes of the breach.
The Buyer may not transfer the Account to third parties, use another person's Account or create new Accounts to circumvent measures applied under the Agreement (clause 5.8 of the Rules).
The Operator is not the seller of the Product, the provider of a service constituting the Product or a party to the Deal, does not conclude a contract of sale or a contract for the provision of services for consideration with the Buyer, and does not represent the Buyer in the Deal (clause 6.1 of the Rules). The Operator accepts payment for the Product in its own name and at the Seller's expense through the Payment Partner, with whom the payment is held (clauses 7.5 and 9.1, clause 3.3 of the Seller Agreement). The Seller is liable for the performance of the Deal, including the delivery of the Product, its conformity with the Listing and the Seller's right to dispose of it (clause 6.3 of the Rules).
The Operator gives Sellers the technical ability to place information on the Platform, does not initiate its placement and checks Listings selectively (clause 6.4 of the Rules). The Operator does not change the information about the Product provided by the Seller and is not liable for its accuracy and completeness, except where such liability is imposed on it by law. Moving a Listing to the proper Section is not a change of the information about the Product.
On the Seller's page and in the Listing, the Operator places information about the Seller: the username on the Platform, the registration date, the number of completed Deals, the rating and reviews, the Seller's status and other information necessary for a proper assessment of such seller and for concluding a deal.
The Buyer interacts with the Seller through the Deal chat. The Buyer may send the Seller a claim through the Deal chat or through the support service. The Operator forwards a claim received through the support service to the Seller no later than the business day following the day of its receipt and sends the Seller's response to the Buyer in the Account.
If the Seller is a foreign person, enforcement of claims against it that have not been settled on the Platform may require going to court outside the Russian Federation.
As the owner of the Platform, the Operator independently determines the procedure for its use, including the procedure for placing information. The Operator may reject, restrict the display of or unpublish a Listing that violates the Rules, and may restrict access to information at the request of an authorized government authority or a right holder.
The Operator receives remuneration from Sellers. Its amount is not taken into account when disputes under Deals are considered.
Only digital Products may be the subject of Deals on the Platform (clause 7.1 of the Rules): accounts in games, services, messengers and social networks, email accounts, in-game currency and in-game items, keys and activation codes, subscriptions, services, including promotion on social networks, software and digital materials. A Deal in respect of a subject that is not a digital Product is subject to cancellation with the return of the full amount paid to the Buyer.
It is prohibited to offer Products listed in clause 7.3 of the Rules and in the Registry of Prohibited Topics. A Deal in respect of such a Product is subject to cancellation with the return of the full amount paid to the Buyer. If the Buyer knew of the prohibition, the Operator may restrict access to the Account of such buyer for a fixed period or indefinitely and/or, on an individual basis, apply a measure proportionate to the violation.
A Product is an intangible benefit (information, Access Data, rights of claim, rights to use results of intellectual activity, results of services rendered) and is not a thing. The specific subject of a Deal is determined by the Listing. Under a Deal involving an account, in-game currency or an in-game item, the Buyer receives the Access Data and the means of access recovery, valuables transferred in the manner provided for by the rules of the game or service, and the Seller's rights under its agreement with the developer to the extent that the developer's rules permit their transfer. The Buyer does not acquire ownership of the account, in-game currency or in-game item.
Rights to games, software and services belong to their right holders. The Buyer uses keys, activation codes, subscriptions and software on the terms of the right holders' license agreements. The Operator does not grant the Buyer any rights to use the results of intellectual activity that constitute the Product.
The Buyer has been informed that (clause 7.2 of the Rules):
- the rules of the developer of a game or service may prohibit the transfer of an account, currency or items to third parties;
- the developer may block an account, currency or items under its own rules and is not a party to the Deal;
- the former owner of an account may try to recover access to it through email, phone, devices or the developer's support service.
Blocking of a Product by the developer for actions taken before its delivery, recovery of access by the former owner and any other loss of the Product's usability for a reason that existed at the time of delivery are defects of the Product for which the Seller is liable (Section 10). The risk of blocking for actions taken by the Buyer after delivery and the risk of the developer changing its rules after delivery are borne by the Buyer.
A Listing contains the main properties of the Product, the price in rubles, the Deal Periods, the Guarantee period, the restrictions and risks known to the Seller and the rules for using the Product, and, for an account, also information about account bindings and an indication that it has been used by a former owner. The requirements for Listings are set out in clause 7.6 of the Rules and clause 4.2 of the Seller Agreement.
If the quantitative characteristics of the Product differ from those stated in the Listing by more than 10%, the Product does not conform to the Listing and/or the description (clause 9.11 of the Rules). If the deviation is within 10%, the Buyer may agree with the Seller on a proportionate reduction of the price.
If the Product consists of Access Data, the Buyer, by paying for the Product, agrees to receive it from the Seller for the lawful use of the relevant resource. Having received an account, the Buyer changes the password in the manner and within the time specified in the Seller's instructions. The Access Data is transferred to the Buyer by the Seller; the Operator is not its sender and provides only a technical channel for its transmission.
To make a purchase, the Buyer chooses a Listing, the quantity of the Product and the payment method. Before payment, the Platform shows a confirmation page: the name of the Product, information about the Seller, the price in rubles, the payment method fee (if any), the total amount, the Deal Periods, the Guarantee period and a link to the applicable version of the Agreement (clause 8.1 of the Rules). On this page, the Buyer may correct the quantity of the Product, the payment method and other data the Buyer has entered.
A Listing remains valid until it is unpublished or the remaining stock of the Product is exhausted. The price on the confirmation page is held for 15 minutes from the moment it is displayed.
Monetary obligations under Deals are expressed and performed in rubles.
Information about the Payment Partner is stated on the payment page. The relations between the Buyer and the Payment Partner are governed by the Payment Partner's rules; the Operator does not participate in these legal relations.
Payment for the Product is accepted through the Payment Partner and held with it until the conditions set out in clause 9.6 occur (clause 11.2 of the Rules). The Operator accepts payment in its own name and at the Seller's expense on the Seller's instructions. The Buyer's payment obligation to the Seller is deemed performed at the moment specified in clause 7.7.
The payment method fee is set by the Payment Partner. It is the Payment Partner's remuneration, is not included in the Product price and is not received by the Operator or the Seller. Payment from the Balance is not subject to the Payment Partner's fee.
The Buyer's payment obligation is deemed performed: when paying from the Balance, at the moment the amount is debited; when paying by any other method, in the amount specified in the transfer order, from the moment the Buyer's bank confirms its execution. The Seller's obligations to deliver the Product arise from the moment the Deal is assigned the status “paid” or another status indicating successful payment, after confirmation by the Payment Partner (clause 8.3 of the Rules).
If money has been debited from the Buyer's bank account but the status “paid” or another status indicating successful payment has not been assigned within 1 hour, the Buyer may contact the support service.
If, before the status “paid” or another status indicating successful payment is assigned, the Payment Partner or a bank has refused to carry out the transaction or has returned the payment on grounds established by law or by the rules of the payment system, the Deal is deemed not to have been concluded.
The conclusion of a Deal is confirmed by the Deal page with its number.
If payment has been received but the Deal cannot be performed because the Product is unavailable or the price has changed, the money is credited to the Buyer's Balance.
If the price in a Listing is stated with an obvious technical error, the Seller may, before delivering the Product, propose to the Buyer that the Deal be cancelled. The Deal is cancelled only with the Buyer's consent and with the return of the full amount paid. Without such consent, the matter is resolved in the manner set out in Section 12, taking into account whether the Buyer knew or should have known of the error.
One Buyer may have no more than 20 uncompleted Deals at the same time (clause 8.5 of the Rules).
To prevent transactions without the consent of the owner of a payment instrument, the Operator may, before the Product is delivered, request the Buyer to confirm that the payment instrument belongs to the Buyer. In that case, delivery of the Product is conditional on receipt of the confirmation, and the delivery period runs from the moment it is received. If the confirmation is not provided within 24 hours, the Deal is cancelled.
The Platform does not provide the Buyer with credit, payment in installments or deferred payment. The Buyer's Balance cannot be negative.
The Buyer's Balance is a record in the Account of the amount of the Buyer's funds deposited as a Top-up or due to be returned to the Buyer under Deals. These funds are held by the Payment Partner for the benefit of the Buyer (clause 11.2 of the Rules).
The Balance is not a bank account or a deposit. If the Payment Partner records the Balance funds as electronic money, relations concerning them are also governed by the Payment Partner's rules. No interest accrues on the Balance. Balance funds are used only to pay for Products on the Platform and may be returned to the Buyer in the manner set out in clause 8.4.
A Top-up is made by the methods shown in the “Wallet” area or in another area of the Account intended for recording the Balance. The top-up method fee is paid on top of the amount and is shown before payment (clause 11.3 of the Rules). The Buyer tops up the Balance only from its own bank account or another payment instrument of its own and does not use credit or borrowed funds for this purpose, including installments and “split” payments (clause 13.1 of the Rules).
The Buyer may at any time demand the return of the Balance funds by creating a withdrawal request in the “Wallet” area or in another area of the Account intended for recording the Balance, or through the support service. The withdrawal period is determined by the Payment Partner.
The top-up method fee withheld by the Payment Partner is not returned, except where the return of the Top-up is caused by the Operator's breach of the Agreement or by the Operator's withdrawal from the Agreement under clause 20.4.
If the return requires confirming that the payment instrument or bank account belongs to the Buyer or providing payment details, the period specified in clause 8.4 runs from the moment the Buyer performs these actions. The Operator may extend the return period by no more than 30 days if the Payment Partner or a bank has suspended the transaction or has requested information in accordance with the law.
The Buyer instructs the Operator, without any further expression of will, to apply the Balance funds towards the discharge of only the following obligations of the Buyer:
- the return of amounts credited to the Balance by mistake, as unjust enrichment;
- payment for a Product received, if the payment for it has been cancelled at the Buyer's initiative;
- the return to the Seller of an amount received under a decision of the Arbitrator that has been revised under clause 12.13;
- compensation to the Operator for damage under clause 14.8 in the amount acknowledged by the Buyer or established by a court decision that has entered into legal force.
Such discharge may not make the Balance negative.
If the extension of the period under clause 8.6 or the discharge under clause 8.7 is found to be unjustified, the Operator restores the Balance or executes the request within five business days and pays the Buyer interest for the use of another person's funds.
The Safe Deal means that the transfer of payment to the Seller is conditional on one of the circumstances set out in clause 9.6 and takes place automatically, without any further expression of will by the Buyer. The Safe Deal is not an escrow agreement and does not involve opening an escrow account.
The Seller delivers the Product on the Deal page before the delivery period expires: the Seller marks the delivery and attaches the Product data (login and password, key, code, link, instructions) of up to 2,000 characters. Data once sent cannot be changed (clause 9.3 of the Rules). In Sections with automatic delivery, a Product uploaded by the Seller to the stock, including Access Data, is delivered to the Buyer immediately after payment (clause 4.7 of the Seller Agreement).
The Product is deemed delivered from the moment its data is sent on the Deal page and, in the case of automatic delivery, from the moment the data is displayed to the Buyer. Handing over a Product outside the Deal page is not recognized as delivery. The information in the Deal Log confirms the time and content of the delivery; the Buyer may rebut it by any evidence.
When transferring an account, the Seller provides all the data necessary to use it and to change its access credentials: login, password, access to the linked email if stated in the Listing, recovery codes and instructions for changing the data. If signing in requires a code from the Seller's device or email, the Seller provides it in the Deal chat within 24 hours of the Buyer's request made during the inspection period or the Guarantee period (clause 5.3 of the Seller Agreement).
The Buyer checks the Product during the inspection period and confirms receipt only after making sure that the Product conforms to the Listing (clause 9.5 of the Rules). Confirmation is made with a button on the Deal page. Before that, the Platform warns that the payment will go to the Seller.
The payment is transferred to the Seller if (clause 9.1 of the Rules):
- the Buyer has confirmed receipt of the Product;
- the inspection period has expired and the Buyer has neither confirmed receipt nor opened a dispute during that time. The Parties have agreed that in this case the Buyer's silence means confirmation of receipt;
- the Arbitrator has resolved the dispute in favor of the Seller.
If the Product has a Guarantee, the transferred amount is on Hold until the end of the Guarantee period (clause 3.13 of the Rules).
No later than 12 hours before the end of the inspection period or, if the inspection period is 12 hours or less, together with the notice of delivery of the Product, the Platform, where technically possible, reminds the Buyer of the inspection period in the Account and/or by email.
The inspection period and the Guarantee period are extended by the time during which the Buyer could not check the Product or open a dispute for reasons for which the Buyer is not responsible (clause 9.12 of the Rules), including:
- by the time during which the Platform is unavailable or a malfunction prevents a dispute from being opened;
- by the time from the Buyer's request in the Deal chat for a code or other data for access to the Product until the Seller provides them, if the seller does not provide such data;
Confirmation of receipt of the Product entails the transfer of payment to the Seller and cannot be cancelled. It does not deprive the Buyer of the right to open a guarantee dispute or to bring claims against the Seller regarding defects that could not have been detected during the inspection, in the manner established by law and/or contract.
If the Seller has not delivered the Product on time, the Buyer may, at its option, set a new deadline in the Deal chat or open a payment dispute (clause 9.4 of the Rules).
A Consumer Buyer may withdraw from a Deal at any time before the Product is delivered, compensating the Seller for the necessary expenses incurred in performing the Deal. The withdrawal is made by cancelling the Deal on its page or through the support service. The amount paid is returned less these expenses and the payment method fee.
Repealed.
If the Product is a service (boosting, leveling, playthrough, promotion on social networks, etc.), the Seller provides it within the period stated in the Listing and reports its performance in the Deal chat; the inspection period runs from the moment of that report. The Seller uses the Access Data for the Buyer's account only to provide the service (clause 5.4 of the Seller Agreement).
If the Section allows replacement, the Seller may offer to replace a Product that does not conform to the Listing, within the number of replacements set by the Section (clause 5.5 of the Seller Agreement). Replacement takes place with the Buyer's consent; without it, the Buyer may open a dispute demanding the return of the payment. Replacement extends the inspection period by the time shown on the Deal page.
The Seller may not cancel a paid Deal but may voluntarily return the full payment amount to the Buyer (clause 9.4 of the Rules, clause 5.6 of the Seller Agreement).
If the Buyer knew of and agreed with the Seller on a voluntary return of funds without contacting the Support Service, the Buyer must return the Product to the Seller. In such a case, the buyer must return access and stop using the digital Product. An incomplete or unfinished process of such return is not permitted.
An agreement on the intention to return funds is a direct request to the Seller for the return of funds without contacting the Support Service.
All settlements under a Deal are made only through the Platform. The Safe Deal, the Guarantee and the consideration of disputes do not apply to money paid to the Seller outside the Platform (clause 9.10 of the Rules). A Buyer who has been invited to pay directly may report this to the support service.
The Guarantee period is specified by the Seller in the Listing within the maximum period of the Section. If no period is specified, the default period of the Section applies (clause 9.6 of the Rules, clause 6.1 of the Seller Agreement). The Guarantee period is shown before payment and on the Deal page.
During the Guarantee period, the Buyer may open a guarantee dispute, including after confirming receipt, if (clause 9.7 of the Rules):
- access to the account has been lost because it was recovered by the Seller or the former owner;
- the account or in-game item has been blocked by the developer for actions taken before delivery;
- the key, code or subscription does not work for a reason that existed at the time of delivery;
- the Product has ceased to conform to the Listing for another reason that arose before delivery;
- after delivery, the Seller has performed actions prohibited by clause 7.7 of the Rules or, by other bad-faith conduct, has deprived the Buyer of the ability to use the Product.
The Guarantee does not apply if the Product has become unusable because, after delivery, the Buyer:
- changed the account data contrary to the Seller's instructions in the Listing or on the Deal page;
- violated the rules of the game or service and was blocked by the developer for this;
- gave third parties access to the Product;
- spent the balance, currency or items of the account.
- Other provisions set out in the General Rules.
- A change of the password by the Buyer to its own password in accordance with the Seller's instructions does not terminate the Guarantee.
A defect discovered during the Guarantee period is deemed to have arisen before the delivery of the Product unless the Seller proves otherwise on the grounds set out in clause 10.3. If access to the account has been lost through the use of data held by the Seller or the former owner, the Seller is presumed to be at fault (clause 9.8 of the Rules).
If a guarantee dispute is resolved in favor of the Buyer, the full payment amount is returned to the Buyer from the Seller's Hold or, if the money has already been withdrawn, at the expense of the Seller's Balance (clause 9.9 of the Rules, Section 9 of the Seller Agreement). The Operator is not the Seller's surety or guarantor. If the Seller's funds are insufficient, the Operator applies measures to the Seller under the Seller Agreement.
The Buyer may waive the Guarantee early (clause 9.14 of the Rules). Before the waiver, the Platform explains its consequences. The waiver deprives the Buyer only of the right to a guarantee dispute under that Deal and does not affect the Buyer's other rights.
After the Guarantee period has expired, the Arbitrator may return the payment to the Buyer in the cases set out in clause 9.13 of the Rules: in the event of numerous well-founded complaints about the Products of one Seller, and where the account was recovered by the former owner during the Guarantee period but the complaint was filed later.
In a dispute under a Deal, the Buyer may demand the return of the full amount paid (clause 10.4 of the Rules). Replacement of the Product and a partial return are possible only with the Buyer's consent (clauses 9.13, 11.3).
The Buyer informs the Seller of a defect within a reasonable time after the defect should have been discovered. A breach of this obligation does not deprive the Buyer of its rights unless the Seller proves that, as a result, the claim cannot be satisfied or the Seller's costs have become disproportionate.
Decisions of the developer of a game or service (mass blocking, a ban on or restriction of the transfer of valuables, a delay in trading, cancellation of accruals, a change of rules, closure of the game or service as a whole or in particular regions) are not force majeure. Their consequences are allocated as follows:
- the event occurred before the delivery of the Product and prevents delivery: the Deal is cancelled with the return of the full amount paid to the Buyer;
- during the Guarantee period, the Product became unusable because of an event whose cause existed before delivery (the origin of the Product, actions of the Seller or the former owner): the Seller is liable under this Section;
- the event is based on rules or decisions of the developer adopted after delivery and unrelated to earlier circumstances: the risk is borne by the Buyer (clause 6.6), unless the Seller knew of the forthcoming event (for example, an announced closure of the game) and did not state it in the Listing.
Money is returned to the Buyer in the following cases and amounts:
- the Deal has been cancelled because the Product was not delivered on time (clause 9.10): the full amount paid;
- the Consumer Buyer has withdrawn from the Deal before the delivery of the Product or from a service before its completion: the amount paid less the amounts specified in these clauses, subject to the reservation in clause 9.11.1;
- a dispute or a guarantee dispute has been resolved in favor of the Buyer: the full amount paid;
- the Deal has been cancelled under clauses 6.1, 6.2, 7.12 or the second paragraph of clause 10.10: the full amount paid;
- the Seller has voluntarily returned the payment: the amount returned by the Seller;
- the Buyer and the Seller have agreed on a partial return (clause 11.3): the agreed amount;
- payment under one Deal has been debited twice or in a larger amount due to a technical error: the amount overpaid.
Money is returned to the Buyer's Balance.
A partial return is possible only by agreement between the Buyer and the Seller made on the Deal page (clause 10.4 of the Rules, clause 5.6 of the Seller Agreement).
Consideration of a dispute by the Arbitrator is an out-of-court procedure for settling disagreements between the Buyer and the Seller, which they joined by accepting the Rules (clause 10.7 of the Rules). The Arbitrator is not an arbitral tribunal, and its decision is not an arbitral award. The Arbitrator's decision is binding on the parties to the Deal as regards what happens to the money held, is enforced under clause 12.12, does not prejudge the rights of the parties against each other and does not deprive them of judicial protection.
The Buyer opens a dispute on the Deal page after the delivery of the Product and before the end of the inspection period, and a guarantee dispute before the end of the Guarantee period. In the application, the Buyer briefly states the claim (from 10 to 2,000 characters) and attaches evidence (clause 10.1 of the Rules). If a dispute cannot be opened on the Deal page, the Buyer may raise it through the support service.
The parties to the Deal may submit any admissible evidence: screenshots, video recordings, correspondence, responses from the developer's support service. If the Section requires a video recording of the check, the Platform informs the Buyer of this before payment, and clause 10.9 of the Rules applies: without a recording, a dispute about Invalidity is considered if other objective evidence is available. In other Sections, a video recording is not mandatory, and its absence is not in itself a ground for rejecting the Buyer's claim. The Arbitrator assesses the evidence as a whole.
For the duration of the dispute, the money under the Deal remains held (clause 10.2 of the Rules).
The Arbitrator may request information and evidence from the parties, specifying exactly what is needed and by when. The parties to such a dispute have no more than 24 hours to respond to the first and to each subsequent request (question) of the Arbitrator. At the reasoned request of a party, the period is extended.
If the Seller has not responded on time, the dispute is resolved in favor of the Buyer. If the Buyer has not responded, the dispute is resolved on the basis of the available evidence (clause 10.2 of the Rules).
The Arbitrator resolves the dispute on the basis of the Agreement, the Rules and the Seller Agreement (clause 10.3 of the Rules). The burden of proving the delivery of the Product and its conformity with the Listing lies with the Seller.
The Arbitrator considers the dispute impartially: examines the evidence of both parties, the Deal Log and the Operator's information, and does not take into account circumstances immaterial to the dispute, including the amount of the Operator's remuneration and the Seller's sales volume.
The Arbitrator makes a decision within a reasonable time required to examine and properly assess the available evidence after receiving the parties' responses or after the time allowed for them has expired.
The decision is made by an employee of the Operator; automated tools only help to prepare it. The decision is posted on the Deal page and/or sent by email.
Each party to the Deal may appeal the Arbitrator's decision once within 10 days of the moment it is made by sending a complaint to the support service (clause 10.6 of the Rules). The complaint is considered by another employee of the Operator who did not take part in the decision, within 7 business days. During this time, the money remains held.
The Arbitrator's decision is enforced immediately after the decision is published. In exceptional cases, the Arbitrator's decision is enforced after the appeal period has expired or, if a complaint has been filed, after it has been considered.
An enforced decision in favor of the Buyer may be revised only if the Buyer submitted knowingly false arguments or forged evidence or concealed material circumstances, and also in order to correct an arithmetical error. The Operator sends the Buyer a reasoned notice of the revision. A reasoned notice means a written notice made by an employee of the Operator on the dispute page.
The Buyer may close the dispute itself (clause 10.5 of the Rules). Before closing, where technically possible, the Platform warns that the payment will go to the Seller and that it will not be possible to open the dispute again.
Knowingly false arguments or forged evidence in a dispute constitute a violation (clause 10.8 of the Rules) and entail the temporary or indefinite imposition of restrictions on the Account. A claim made in good faith and rejected by the Arbitrator is not a violation.
The Buyer may send the Operator an inquiry or a claim in writing to admin@lolz.team.
The Operator registers an inquiry no later than the business day following the day of its receipt and informs the Buyer of its number.
The response is sent to the Account and/or by email and contains the decision, its grounds, the evidence and the procedure for appealing it.
The Operator may refrain from responding on the merits only if the substance of the inquiry cannot be established and the Buyer has not clarified it upon request, if the inquiry contains obscene language or threats, or if it repeats a previous one without new arguments.
Support staff may not change the terms of the Agreement. A decision on an inquiry recorded in the Account is binding on the Operator. The Operator may change it only in the event of deception, inaccurate information from the Buyer or an obvious technical or arithmetical error, informing the Buyer of the reasons.
Promo codes, bonuses and other voluntary compensation from the Operator do not constitute an admission of liability.
The Buyer must:
- comply with the Agreement and the Rules, act in good faith and assist in achieving the purpose of the obligation;
- provide accurate information and keep it up to date;
- check the Product during the inspection period and report defects in the manner set out in the Agreement;
- provide the information requested by the Arbitrator within the limits of clause 12.5;
- take into account that the use of Products is governed by the rules of developers, which the Operator does not set; the risk of their consequences is allocated by Sections 6 and 10.
The Buyer is prohibited from (clause 13.1 of the Rules):
- offering or making payment outside the Platform;
- paying and topping up the Balance with cards, bank accounts and other payment instruments of third parties, as well as with credit and borrowed funds, including through “split” payments;
- initiating the cancellation of a payment for a received Product that conforms to the Listing if the Buyer has not reported a defect in the manner set out in the Agreement;
- submitting knowingly false arguments or forged evidence in a dispute;
- carrying out through the Platform exchange operations (including under the scheme “card → Platform → cryptocurrency or another card”), laundering of criminal proceeds, circumvention of restrictions imposed by banks and payment systems, fictitious Deals;
- buying Products that it knows to be prohibited (clause 7.3 of the Rules);
- artificially inflating reviews, spreading false information about Sellers, demanding a change of the price or terms under the threat of a negative review;
- insulting other Users, threatening them, disclosing their personal data or threatening to disclose it;
- making purchases using automation software without the Operator's written permission, interfering with the operation of the Platform, collecting data from the Platform automatically;
- transferring the Account to third parties and creating Accounts to circumvent measures applied.
The Operator's obligations to provide access to the Platform's functions are reciprocal to the Buyer's obligations under clauses 14.1 and 14.2. If the Buyer fails to perform them, the Operator may suspend performance of its obligations or refuse to perform them by means of the measures in clause 14.4.
The list of measures is not exhaustive and, in relations with the Buyer, does not replace clause 14.1 of the Rules:
- a warning;
- hiding a review or message;
- suspension of individual functions of the Account (purchases, Top-ups, chat, reviews) for up to 30 days;
- blocking of the Account, which means the Operator's withdrawal from the Agreement (clause 20.3).
A measure is chosen in proportion to the severity of the violation, taking into account whether it is repeated, the harm to other Users and the Buyer's conduct after the violation was discovered.
Several measures may be chosen in respect of the Buyer at the same time.
Before applying a measure, the Operator requests explanations from the Buyer, except where delay threatens losses to other Users or the security of Accounts. The decision on a measure is made by an employee of the Operator. The Operator sends a reasoned notice of the measure to the Account and/or by email.
The Buyer may appeal a measure within 14 days of the notice (clause 14.2 of the Rules). The complaint is considered by an employee of the Operator who did not take part in applying the measure. If the complaint is justified or the ground for the measure has been eliminated, the Operator cancels the measure applied or part of it.
The Buyer compensates the Operator for damage caused by a culpable breach of the Agreement, including amounts withheld from the Operator by a bank or the Payment Partner because the Buyer cancelled a payment for a Product received, in the amount confirmed by documents.
The Buyer may leave a review of a completed Deal (clause 12.3 of the Rules). A review describes the Buyer's own experience of the Deal. The Operator hides a review only if it violates clause 12.3 of the Rules or contains obscene language, personal data, advertising or information unrelated to the Deal. A negative rating in itself is not a reason for hiding a review. The Seller may respond to a review.
The Seller may not offer the Buyer a reward for a positive review or for changing or deleting a review. The Buyer may report such an offer to the support service.
Listings in search and in the catalog are ranked automatically, taking into account relevance to the query, price, availability of the Product, the number of the Seller's sales and reviews, the share of Deals with disputes and returns, and promotion paid for by the Seller (clause 4.8 of the Seller Agreement).
The Seller's rating is calculated from the Platform's actual data (clause 4.9 of the Seller Agreement).
The Parties are liable for non-performance or improper performance of the Agreement in accordance with the laws of the Russian Federation and the Agreement.
The Operator is liable for its own obligations: compliance with the procedure for holding and returning payment, the operation of the Safe Deal, the accuracy of the information it places itself, the consideration of disputes under Section 12 and the protection of the Account within the means under its control. The Operator is liable for the timely transmission to the Payment Partner of orders to transfer and return money. The Operator is not liable for the Payment Partner's own obligations to the Buyer.
The Seller is liable for the delivery of the Product, its conformity with the Listing and the Seller's right to dispose of it. The Operator is not liable for the Seller's obligations.
The Operator is not liable for consequences not caused by a breach of its obligations (clause 15.2 of the Rules), in particular for the consequences of:
- decisions of developers on circumstances that arose after the delivery of the Product;
- the Buyer's transfer of codes, passwords or access to the Account to third parties;
- restriction of the purchase or use of the Product by the law of the Buyer's country (clause 4.4 of the Rules);
- a refusal by a bank or the Payment Partner to carry out a transaction on grounds established for them by law;
- malfunctions of the Buyer's equipment and communication failures beyond the Operator's control;
- blocking of the Platform in particular countries by decision of the competent authorities.
Liability to a Business Buyer is determined by Section 21.
Actions of the Platform software under the Agreement (confirmation of receipt upon expiry of the inspection period, enforcement of the Arbitrator's decision and other actions that reasonably presuppose actions of the Platform software) are recognized as performance of obligations using information technologies. The transfer of Product data on the Deal page and the delivery of a Product from the stock are recognized as actions of the Seller (clause 4.7 of the Seller Agreement).
If non-performance occurred through the fault of both Parties, or if the Buyer contributed to an increase in losses or failed to take reasonable measures to reduce them, the Operator's liability is reduced accordingly.
If the Buyer has not performed actions without which the Operator could not perform an obligation, the Operator is not deemed to be in delay.
The Operator is released from liability if it proves that performance became impossible due to force majeure, that is, circumstances that are extraordinary and unavoidable under the given conditions.
Where the features set out in clause 16.9 are present, the following may constitute force majeure:
- natural disasters, fires, epidemics, military operations, terrorist acts, mass riots;
- acts of public authorities and courts, including blocking of the Platform. If such an act makes performance impossible, the obligation terminates in whole or in part;
- attacks on the Platform's systems that could not have been repelled by the protection measures usual for this type of activity;
- large-scale failures of communications and power supply beyond the control of the Operator and its counterparties.
If force majeure or an act of a public authority makes performance of the Agreement impossible, the obligations of the Parties terminate in whole or in part.
Force majeure is confirmed by documents of the competent authorities or by publicly available information. The Operator's incident report with a timeline based on the Deal Log may serve as evidence.
The Operator sends legally significant messages to the Account and, where technically possible, to the email address linked to it and by push notifications if the Buyer has enabled them (clause 17.1 of the Rules). A message in the Account is deemed delivered at the moment it is posted, and an email at the moment it arrives at the Buyer's address; the rule in clause 17.1 of the Rules that an email is received on the following day does not apply to relations under the Agreement. A message is also deemed delivered when it has arrived but has not been read due to circumstances within the Buyer's control. Notices of blocking, of withdrawal from the Agreement, of amendment of the Agreement and of extension of the period for returning Balance funds are sent to the Account and/or by email.
The Buyer bears the risks related to the deliverability of emails to the email address specified by the Buyer during registration or linked to the Account. The email address must be accessible to the Buyer, and the domain address must be supported for the sending of email notifications from the Operator's email address.
A period for the Buyer's action specified in a message runs from the moment of delivery.
The Buyer sends inquiries through the support chat or to admin@lolz.team (clause 17.2 of the Rules). An inquiry is deemed received at the moment it arrives.
The Buyer keeps the linked email address up to date. The risk of not receiving messages sent to an outdated address is borne by the Buyer.
Messages about Deals, Account security or amendments to the Agreement, and other service messages, are not advertising.
If an inquiry is handled by a chatbot or another automated system, the Buyer is warned of this at the start of the correspondence and may demand an employee of the Operator.
Messages from the Account or from the linked email address and the Platform's records of Deals and transactions are recognized as written evidence.
The Operator processes the Buyer's personal data in accordance with the Privacy Policy. Data needed to conclude and perform the Agreement is processed without consent. Consent to processing, where required, is given separately from the Agreement.
The Operator does not refuse to conclude or perform the Agreement because of a refusal to provide personal data, except for data required by law or without which the Agreement cannot be performed.
Only the Buyer's data needed for the Deal is transferred to the Seller: the username on the Platform and the data provided for receiving the Product (for example, an in-game identifier). The Seller uses it only for the Deal (clause 5.9 of the Seller Agreement). Other data is transferred to the Seller, the Payment Partner and banks only in the cases and to the extent provided for by the Privacy Policy and the law.
The Deal Log, the correspondence in the Deal chat and the decisions of the Arbitrator are stored for the term of the Agreement and for three years after the completion of the Deal and, in the case of an unresolved dispute or claim, until it is finally resolved.
Correspondence in the Platform's chats is stored by the Operator. Employees read it when considering a dispute or a complaint or when there are signs of fraud (clause 12.2 of the Rules); each such case is recorded. Correspondence is disclosed to government authorities only in the cases and in the manner provided for by applicable law.
By posting a review or other public materials on the Platform, the Buyer grants the Operator a royalty-free simple (non-exclusive) license to reproduce them and make them available to the public on the Platform, in search engines and in advertising of the Platform, and to adapt them technically and translate them (clause 12.4 of the Rules). The license is valid worldwide for the period during which the materials are posted and, for the Deal archive, for the period set out in clause 18.4. Chat correspondence and Product data are not used in advertising and are not publicly disclosed.
Rights to the name, logo, design and software of the Platform are determined by clause 16.1 of the Rules. Claims of right holders are considered under clause 16.2 of the Rules.
The Operator may publish a new version of the Agreement; it constitutes a new offer. A new version does not change the terms of Deals paid for before it takes effect: the previous version applies to them, including to the Guarantee and the consideration of disputes (clause 18.2 of the Rules).
A new version takes effect on the day of its publication unless the new version establishes a different procedure for its entry into force.
A new version applies to the Buyer from the moment of acceptance: payment for a Product or a Top-up after it takes effect. The rule in clause 18.3 of the Rules on acceptance of a new version through continued use does not apply to the Agreement. Until acceptance, the Buyer may complete open Deals on the previous terms, open disputes under them, contact support and demand the return of Balance funds.
A Buyer who does not agree with a new version may withdraw from the Agreement under clause 20.2.
The Operator may change the design, interface and functions of the Platform if this does not affect the terms of the Agreement and of paid Deals.
The Agreement is valid for an indefinite term.
The Buyer may withdraw from the Agreement at any time by sending a notice to support or a request to delete the Account (clause 5.10 of the Rules). Open Deals are completed.
The Operator may withdraw from the Agreement if:
- the Buyer has committed a violation for which the Agreement or related documents provide for blocking of the Account;
- a representation of the Buyer that is material to the Operator has proved to be untrue;
- performance of the Agreement is prohibited by law or by an act of a court or another authorized body that is binding on the Operator.
The Operator sends the Buyer a corresponding notice to the Account and/or by email. The Agreement terminates at the moment the notice is delivered.
The Operator may withdraw from the Agreement in connection with the closure of the Platform by notifying the Buyer at least 30 days in advance.
Upon termination of the Agreement, the Buyer's open Deals are completed. Balance funds are returned under clause 8.4. If the Buyer is also a Seller, the Seller Agreement applies to the money due to it as a Seller.
After the Account is deleted, the Buyer's data is processed in accordance with the Privacy Policy and clause 18.4.
Sections 8, 11, 12, 16 and 22 remain in effect after termination of the Agreement until settlements are completed and disputes are resolved.
Provisions addressed only to Consumer Buyers do not apply to a Business Buyer. All other provisions of the Agreement apply in full.
The Operator is liable to a Business Buyer only if it is at fault (intent or negligence). The rule on liability regardless of fault does not apply to these relations.
The Operator compensates a Business Buyer only for actual damage; lost profit is not compensated. For a breach related to a Deal, the compensation is limited to the amount paid under that Deal (clause 15.3 of the Rules).
A Business Buyer that is a legal entity or an individual entrepreneur, or a person who, although not registered as an individual entrepreneur, actually carries out business activity within the meaning of the applicable law, compensates the Operator for property losses arising from claims of third parties (right holders, developers, its counterparties) or government authorities because of the resale or other use of the Product, regardless of any breach on its part. The amount of compensation is the amount paid by the Operator under such claims and the documented expenses of settling them.
The Parties recognize electronic documents signed with a simple electronic signature, messages in the Account and Deal Log entries as written evidence.
Before resorting to arbitration, a Business Buyer sends the Operator a claim letter under Section 13 to admin@lolz.team. The Business Buyer may commence arbitration 30 days after the day the claim letter was sent.
All disputes between the Operator and a Business Buyer relating to the Agreement, including its conclusion, validity, performance and termination, shall be resolved by the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation (ICAC) in accordance with its rules in force. Seat of arbitration: Moscow. Number of arbitrators: one. Language: Russian. The Parties agree to the expedited procedure if the ICAC rules permit it, and to the dispute being decided on the basis of written materials unless the arbitrator finds an oral hearing necessary.
The limitation periods for claims of the Operator and of a Business Buyer are determined by law.
In relations with a Business Buyer, the Operator is also released from liability for non-performance caused by (clause 15.2 of the Rules):
- the termination, suspension or restriction of the operation of the Payment Partner, banks, payment systems, hosting providers and communication networks, unless caused by a breach on the part of the Operator;
- restrictive measures of foreign states or international organizations.
If such a circumstance lasts for more than 60 days, each Party may withdraw from the Agreement by notifying the other Party.
The Agreement and the relations between the Operator and the Buyer are governed by the law of the Russian Federation.
This does not derogate from the mandatory rules of the consumer protection legislation (or equivalent legislation) of the country of residence of the Consumer Buyer that are to be applied in accordance with the conflict-of-laws rules of Russian law.
Limitation periods and the procedure for calculating them are determined by law and are not changed by the Agreement.
The invalidity of any individual term does not entail the invalidity of the remaining terms.
The Operator may assign its rights under the Agreement to a person who will continue to operate the Platform by notifying the Buyer at least 30 days in advance. The Operator's obligations are transferred only with the Buyer's consent, which is expressed by acceptance of the relevant version of the Agreement. A Buyer who does not agree may withdraw from the Agreement under clause 20.2.
The Agreement does not create a partnership, agency or employment relationship between the Operator and the Buyer.
