This IziMarket Public Agreement for Sellers (the “Agreement”) is an offer by Fitvana Limited, a private limited company registered under the laws of Hong Kong (Business Registration Number 79698379), registered office address: 18 Harbour Road, 35/F, Central Plaza, Wanchai, Hong Kong Island, Hong Kong (the “Operator”), to enter into an agreement for the provision of Platform services, on the terms set out below, with any User who places or intends to place Products on the Platform (the “Seller”).

The Agreement sets out the terms on which the Operator provides the Seller with services of placing Listings, conducting the Safe Deal, recording and paying out funds and promoting Listings, as well as the rights and obligations of the Seller when selling Products on the Platform.

The Agreement forms part of the General Rules of the IziMarket Platform (the “Rules”). Terms are used in the meaning given to them in the Rules unless the Agreement defines them otherwise. In relations connected with the placement and sale of Products, the Agreement prevails over the Rules (clause 1.1 of the Rules). In all other respects, the Rules apply.

In addition to the Rules, the Agreement is supplemented by the Section rules: the commission rate, the Deal periods, the maximum Guarantee period and the default period, the minimum price, the minimum purchase quantity and the delivery procedure. The Section rules are shown to the Seller when a Listing is created. A Deal is governed by the Section rules in effect at the time it was paid.

The Agreement is deemed concluded from the moment when the User, while placing the first Listing (including a draft submitted for moderation), ticks the box “I accept the Public Agreement for Sellers, including the key terms” and clicks the confirmation button. Acceptance means acceptance of the Agreement in full. Acceptance of the Agreement on any other terms is not permitted.

The Agreement is drawn up in Russian. The English translation of the Agreement is provided for reference only. In the event of any discrepancy between the texts, the Russian text prevails.

The Operator keeps on the Platform the current version of the Agreement and all previous versions, stating the period during which each of them was in effect. The Seller may review them and save a copy of them at any time.

A Seller may be any of the following that has registered on the Platform and confirmed its email address: an individual with full legal capacity who has reached 18 years of age, an individual entrepreneur or an organization.

By accepting the Agreement, the Seller confirms that it places Products in the course of business activity, that is, systematically and for the purpose of making a profit, regardless of whether it is registered as an individual entrepreneur or an organization. The Operator treats every Seller as a person engaged in business activity and performs the Agreement on that basis.

The Seller uses the Operator's services to sell Products and not for personal needs.

The Seller represents to the Operator that:

  • the information about the Seller in its profile is accurate, and the Seller will notify the Operator of any changes to it;
  • the Seller is entitled to dispose of each Product it places, and the Product has not been obtained unlawfully, including by means of Brute-Forcing, Phishing, a Stealer, Carding or a Reversal;
  • the sale of the Product and the receipt of funds by the chosen method are permitted by the laws of the country where the Seller is located (clause 3.4 of the Rules);

The Operator relies on these representations. If a representation proves to be untrue, the Seller shall compensate the Operator for the losses arising as a result.

The Operator may request from the Seller information and documents confirming its identity, its status, the source of a Product or the ownership of the payout details if: the amount of payouts exceeds reasonable limits of trading turnover for the products sold by the Seller, complaints have been received, the Payment Partner or a bank has requested such information, or there are signs of the violations listed in Appendix 2. Until the information is provided, the Operator may suspend the withdrawal of funds, but for no longer than 30 days from the request. After this period expires, withdrawal may be suspended only on the grounds set out in clause 10.6 of the Rules.

The Seller independently calculates and pays taxes on income from the sale of Products. The Operator is not the Seller's tax agent unless otherwise provided by applicable law.

The Operator provides the Seller with the following services:

  • placement of Listings in the Platform catalog and their display in search;
  • the option of keeping a stock of Products and their automatic delivery to the Buyer after payment;
  • the Safe Deal: accepting payment from the Buyer, holding it until the payout conditions are met and crediting it to the Seller's Balance;
  • consideration of disputes with Buyers by the Arbitrator;
  • recording of funds on the Balance and their withdrawal;
  • analytics tools (turnover, commission, cost price, profit, disputes, returns);
  • paid promotion of Listings.
  • Other services aimed at improving the quality of the service.

The Operator is not the seller of a Product and is not a party to a Deal. A Deal is concluded between the Seller and the Buyer on the terms of the Listing and the Rules. The Seller is liable to the Buyer for the Product's conformity with the Listing and for its delivery.

To conduct the Safe Deal, the Seller instructs the Operator, in the Operator's own name and at the Seller's expense, to accept payment for Products from Buyers through the Payment Partner, to ensure that the payment is held with the Payment Partner (clause 10.2 of the Rules) and to transfer it to the Seller or return it to the Buyer in the manner established by the Rules and the Agreement. Payment received by the Payment Partner under a Deal is deemed to be performance by the Buyer of its payment obligation to the Seller. The Operator does not answer to the Seller for the Buyer's performance of the Deal or for the Buyer's payment not being cancelled (clause 9.3).

The Operator's remuneration for all services except promotion is the commission (Section 7). Promotion is paid for separately (clause 7.6).

The Operator's report on the performance of the instruction under clause 3.3 consists of the information on Deals and transactions in the Seller's wallet and analytics. The report for a calendar month is deemed accepted if the Seller has not sent objections within 14 days after the end of the month.

A Listing is placed in the Section corresponding to the game or service and to the Product type. Placing a Product in an unsuitable Section is not permitted. The Operator may move such a Listing to a suitable Section, notifying the Seller, or remove it altogether; future Deals are governed by the rules of the new Section.

A Listing must comply with clause 6.6 of the Rules and with the description requirements for particular Product types (Appendix 3). In the Listing, the Seller specifies:

  • the name and type of the Product, the game or service, and the region or server if use of the Product depends on them;
  • verifiable characteristics: level, inventory contents, balance, account age (in days, months or years), whether there are account bindings and how they are transferred;
  • restrictions and risks known to the Seller: blocks and warnings, restrictions on transfer under the developer's rules, the need to confirm sign-in with a code;
  • the delivery period, if it is shorter than the Section period, and the Guarantee period;
  • for services: the content of the service, the period within which it is provided, the result by which the Buyer will be able to verify performance, and the data that the Buyer must provide.
  • Other terms that are material to the Buyer when purchasing the service.

The price is stated in rubles per unit of Product and may not be lower than the minimum price of the Section. The Platform may display the price in other currencies at the exchange rate shown in the interface. Settlements are made in rubles.

The Seller may lower or raise the price of a published Listing at any time. The new price applies from the moment the changes are saved.

In Sections with moderation, a Listing is published after review. A change to the name, the Product type, the Section, key characteristics or the Guarantee terms sends the Listing for repeat moderation. Moderation does not mean that the Operator confirms the information in the Listing (clause 5.4 of the Rules).

The Seller may keep Listings as drafts, withdraw them from sale and delete them. Deleting a Listing does not affect paid Deals or their history.

Stock and auto-delivery. In Sections with automatic delivery, the Seller uploads units of the Product (login credentials, keys, codes, links) to the stock. Each unit is delivered to the Buyer immediately after payment, without the Seller's involvement. The Seller:

  • uploads only units that are valid at the time of upload and conform to the Listing;
  • is responsible for each delivered unit in the same way as for manual delivery;
  • promptly removes from the stock any units that have ceased to be valid;
  • does not upload the same unit to several Listings and does not sell it outside the Platform.

The Operator does not check the contents of the stock and is not responsible for their conformity with the Listing.

Display order. Listings in search and in the catalog are ranked automatically, taking into account relevance to the query, price, availability of the Product in stock, the number of the Seller's sales and reviews, the share of Deals with disputes and returns, and paid promotion. Listings raised in the ranking for a fee are labeled in the interface. A drop in a Listing's position caused by changes in these indicators is not a liability measure.

The Seller's rating is formed from Buyers' reviews, the number of completed Deals, the share of Deals resolved by the Arbitrator against the Seller, and compliance with delivery deadlines. Rating indicators are displayed in the Seller's profile together with the information specified in clause 5.5 of the Rules.

The Seller delivers the Product to the Buyer on the Deal page before the “Deliver by” deadline expires: the Seller marks the delivery and attaches the Product data of up to 2,000 characters (login and password, key, code, link, instructions). Data sent on the Deal page cannot be changed (clause 8.3 of the Rules). Handing over a Product outside the Deal page is not recognized as delivery.

The Product is deemed delivered from the moment the data is sent on the Deal page and, in the case of auto-delivery, from the moment the data is displayed to the Buyer. The Platform's record of the time and content of the delivery is evidence of the delivery of the Product.

When transferring an account, the Seller provides all the data necessary to use it and to change its access credentials: login, password, access to the linked email if stated in the Listing, recovery codes and instructions for changing the data. If signing in requires a confirmation code from the Seller's device or email, the Seller provides it in the Deal chat within 24 hours of the Buyer's request. This obligation applies during the inspection period and the Guarantee period.

When providing a service (boosting, leveling, playthrough, etc.), the Seller provides it within the period stated in the Listing and reports its completion in the Deal chat. The Seller uses the access data for the Buyer's account only to provide the service, does not change the account's security settings, does not spend the Buyer's valuables without the Buyer's consent, and stops using the access after completion.

If the Section allows replacement, the Seller may replace the delivered Product within the number of replacements set by the Section. Replacing the Product extends the inspection period by the time shown on the Deal page.

The Seller may not cancel a paid Deal (clause 8.4 of the Rules). If the Seller cannot deliver the Product, the Seller returns the full payment amount to the Buyer on the Deal page. Return of part of the amount is permitted only by agreement with the Buyer made on the Deal page (clause 9.4 of the Rules).

After delivering the Product, the Seller complies with clause 6.7 of the Rules. In particular, the Seller does not sign in to the sold account, does not recover it or change its data, does not initiate a Reversal, and does not dispute transactions relating to the Product.

The Seller corresponds with the Buyer and accepts payment only on the Platform (clause 8.10 of the Rules). The Seller may not offer the Buyer direct payment, share its contact or payment details for that purpose, or receive an additional payment outside the Platform.

The Seller uses the Buyer's data that becomes known to it during a Deal only to perform that Deal, does not disclose it to third parties and does not use it to communicate outside the Platform.

The Seller specifies the Guarantee period in the Listing within the maximum period of the Section. If no period is specified, the default period of the Section applies (clause 8.6 of the Rules). In Sections where a Guarantee is mandatory, the Seller cannot set a zero period.

The Seller is liable under the Guarantee in the cases listed in clause 8.7 of the Rules. If access to an account has been lost through the use of data held by the Seller or the former owner, the loss of access is presumed to have occurred through the Seller's fault until the Seller proves otherwise (clause 8.8 of the Rules).

The Guarantee does not cover the cases listed in the paragraph following the list in clause 8.7 of the Rules, where the Product has become unusable due to the Buyer's actions or for reasons that arose after the delivery.

During the Guarantee, the funds under the Deal are on Hold. If a guarantee dispute is resolved in favor of the Buyer, the amount is returned to the Buyer from the Hold, and if the funds on Hold are insufficient, Section 9 applies (clause 8.9 of the Rules).

If the Buyer has waived the Guarantee early (clause 8.14 of the Rules), the Hold under the Deal ends, except for a Hold under the scale in Appendix 1.

In the event of numerous well-founded complaints about the Seller's Products, the Arbitrator may return funds to Buyers even after the Guarantee has ended (clause 8.13 of the Rules). In this case, the Operator may extend the Hold on the same Seller's other Deals in the same Section for up to 30 days while the review is under way.

For the Operator's services, the Seller pays a commission as a percentage of the Product price under the Deal. The commission rate is set for each Section and is shown when a Listing is created and in the Seller's analytics. A Deal is subject to the commission rate in effect at the time it was paid.

The commission is withheld when the payment is credited to the Seller's Balance. No separate invoice for the commission is issued.

The commission is charged even if the Deal is cancelled or the payment amount is returned to the Buyer.

The payment method fee is paid by the Buyer on top of the Product price (clause 7.2 of the Rules) and is not included in the Operator's commission. The withdrawal method fee is withheld from the amount withdrawn (clause 8.7).

The Seller may not evade payment of the commission, including by stating a fictitious price in the Listing, receiving an additional payment from the Buyer outside the Platform or running only part of a sale through the Platform (clause 12.1 of the Rules).

Promotion. The Seller may pay for promotion of a Listing from the Balance at the rates shown in the interface. Payment for promotion is not returned once the display has started, except where the display was stopped through the Operator's fault. If a Listing is unpublished for a breach of the Agreement, the cost of the unused promotion is not returned. Promoted Listings are labeled as paid placement.

Upon completion of a Deal (the Buyer's confirmation of receipt, expiry of the inspection period without a dispute, or the Arbitrator's decision in favor of the Seller), the payment amount less the commission is credited to the Seller's Balance (clause 8.1 of the Rules).

The credited amount is on Hold until the end of the Guarantee period. If there is no Guarantee or it has ended earlier, the Hold period is determined by the scale in Appendix 1. Of the two periods, the later one applies. The date on which the Hold ends is shown on the Deal page and in the wallet (clause 2.12 of the Rules).

A payout may be sent for review by the security team if the amount, frequency or nature of the Deals deviates from what is usual for the Seller or the Section, or if there are signs of the violations listed in Appendix 2. The review lasts no longer than 30 business days. The Operator may request explanations and information from the Seller under clause 2.5.

After the Hold ends, the amount becomes available for withdrawal, as well as for paying for purchases and promotion on the Platform.

Funds are withdrawn in accordance with clauses 10.4–10.6 of the Rules to a bank card, to a cryptocurrency wallet or to a linked Lolzteam account. The minimum and maximum amounts, the fee and the exchange rate are shown in the withdrawal form. A withdrawal request is considered within up to 30 business days (clause 10.4 of the Rules).

By choosing a withdrawal method, the Seller confirms that it is entitled to receive funds by that method. Receiving a payout to a cryptocurrency wallet may be restricted by the law of the Seller's country. Compliance with such restrictions is the Seller's obligation.

The withdrawal method fee is withheld from the amount withdrawn. Funds transferred to details entered incorrectly by the Seller are not returned by the Operator (clause 10.5 of the Rules).

No interest accrues on amounts on Hold or on the Balance.

The Operator may debit from the Seller's Balance, including amounts on Hold:

  • amounts returned to Buyers by decision of the Arbitrator, including in guarantee disputes;
  • amounts of cancelled payments under clause 9.3;
  • the payment method fee under clause 7.3;
  • contractual penalties under Appendix 2;
  • losses of the Operator and of Buyers caused by the Seller's breach of the Agreement, in the amount confirmed by documents.
  • Other circumstances suggesting that the debits are reasonable and justified.

Where possible, the Operator notifies the Seller of debits from the wallet, stating the grounds and the Deal. The Seller may contest a debit in the manner set out in Section 13.

Cancellation of a payment. If, within 180 days of the payment for a Deal, the Payment Partner or a bank has cancelled the Buyer's payment (a return at the cardholder's request, a disputed transaction, etc.), the amount of that payment less the Operator's commission returned is debited from the Seller's Balance. The claim against the Buyer for payment for the Product remains with the Seller. The Operator provides the Seller with the information it holds about the Deal and the Buyer to the extent permitted by the Privacy Policy and, at the Seller's request, submits to the Payment Partner evidence of the delivery of the Product.

If the funds on the Balance are insufficient, the Balance may, in exceptional cases, become negative. The Seller shall repay the debt within 14 days of notification. Until the debt is repaid, the Operator applies payouts under new Deals towards it and may restrict withdrawals and access to the account (clause 8.9 of the Rules).

The parties have agreed that the Operator sets off its claims against the Seller against the Seller's claim for payment of the Balance unilaterally, without any additional statement. The notice under clause 9.2 serves as notification of the set-off.

For breaches of the Agreement and the Rules, the measures listed in Appendix 2 are applied to the Seller on the grounds stated therein. The measure is determined taking into account the severity of the breach, whether it is repeated, the amount of the Buyers' losses and the Seller's conduct after the breach was discovered. Measures under clause 13.1 of the Rules that are not named in Appendix 2 are applied to the Seller for breaches unrelated to the sale of Products.

Before applying a measure, the Operator may request explanations from the Seller, except where delay could cause losses to Buyers or the Operator.

While access to the account is restricted, the Seller retains access to the Agreement, to the history of Deals and transactions, and to filing a complaint in the manner set out in Section 13.

If the grounds for a measure have been eliminated or the Seller's complaint has been found justified, the Operator cancels the measure within 96 hours.

The Seller compensates the Operator for losses and expenses arising from the Seller's breach of the Agreement, the Rules or the rights of third parties, including under claims by right holders, Buyers, the Payment Partner and government authorities.

Payment of a contractual penalty does not release the Seller from compensating Buyers for their losses. The Operator's losses are compensated to the extent not covered by the contractual penalty.

The Operator takes reasonable measures to ensure the uninterrupted operation of the Platform but does not guarantee it (clause 14.1 of the Rules). The delivery period, the inspection period and the Guarantee period are extended by the time during which the Platform is unavailable for technical reasons.

The Operator is not liable:

  • for the actions of Buyers, including their cancellation of payments (clause 9.3);
  • for decisions of game and service developers, including blocking of accounts and items;
  • for disruptions in the operation of the Payment Partner, banks, email services, authorization services, hosting and domain services;
  • for restriction of access to the Platform in particular states;
  • Other circumstances arising independently of the Operator's will.

If the Operator breaches the Agreement, it compensates the Seller for actual damage. For a breach related to a Deal, the compensation is limited to the amount due to the Seller under that Deal. In other cases, it is limited to the amount of commissions paid by the Seller in the 12 months preceding the breach.

The limitations in clauses 11.2 and 11.3 do not apply if the damage was caused intentionally or through the Operator's gross negligence, or to the extent that they are not permitted by applicable law.

The parties are released from liability for non-performance caused by an impediment beyond their control that could not reasonably have been foreseen at the time the Agreement was concluded and could not have been avoided or overcome (Article 7.1.7 of the UNIDROIT Principles). A restriction on the operation of the Payment Partner or of a withdrawal method by a decision of a bank or a government authority is such an impediment for the Operator.

By posting texts, images and other materials of a Listing, the Seller represents that it is entitled to use them and grants the Operator a royalty-free non-exclusive license to reproduce them and make them available to the public on the Platform, in search engines and in advertising of the Platform for the period of placement, and to store them in the Deal archive (clause 11.4 of the Rules).

The Seller does not use in a Listing trademarks, logos and images of right holders beyond what is necessary to indicate the game or service to which the Product relates.

The Seller's personal data is processed in accordance with the Privacy Policy. Consent to the processing of personal data is given separately from acceptance of the Agreement (clause 1.3 of the Rules).

Before resorting to arbitration, a Seller who disagrees with a measure, a debit, a change of status, or the rejection of a Listing or a payout files a complaint through the support service within 14 days of notification (clause 13.2 of the Rules). Evidence that the Operator's actions were unjustified is attached to the complaint.

The complaint is considered within 30 business days by an employee of the Operator who did not take part in making the contested decision. The decision on the complaint, stating the reasons, is sent to the Seller in the account. If the complaint is found justified, clause 10.4 applies.

Decisions of the Arbitrator in disputes with Buyers are appealed in the manner set out in clause 9.6 of the Rules (one complaint per subject matter and ground). Consideration of a dispute by the Arbitrator does not deprive the Seller of the right to bring claims against the Buyer in the manner applicable to their Deal (clauses 9.7, 18.5 of the Rules).

The Agreement is governed by the UNIDROIT Principles of International Commercial Contracts 2016 (the “Principles”). Matters not resolved by the Agreement, the Principles and the general principles on which they are based are governed by the law of the Russian Federation.

The terms of the Agreement and the Rules prevail over the provisions of the Principles and of Russian law, except for provisions that cannot be derogated from.

Disputes between the Operator and the Seller relating to the Agreement, including its conclusion, validity and termination, shall be resolved by the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation (ICAC) in accordance with its rules in force. Seat of arbitration: Moscow. Number of arbitrators: one. Language of arbitration: Russian. The parties agree to the dispute being heard under the expedited procedure if the ICAC rules permit it, and to the dispute being decided on the basis of written materials without an oral hearing unless the arbitrator finds a hearing necessary. An oral hearing may be held by videoconference.

The limitation period for claims of the Seller and the Operator against each other is one year from the moment when the party learned or should have learned of the facts giving rise to the claim. The maximum period is four years from the moment the right of claim arose (Article 10.3 of the Principles).

The pre-arbitration claim procedure is mandatory for the Seller. The Seller may commence arbitration if the complaint under Section 13 has been rejected or not considered in time, a claim letter has then been sent to the Operator, and 30 days have passed since the day it was sent. The claim letter is sent to admin@lolz.team.

The Agreement is concluded for an indefinite term.

The Operator may amend the Agreement unilaterally. The new version is published on the Platform stating its effective date, and notice of it is sent to the Seller in the account and by email:

  • no later than 30 days before it takes effect, if the amendment increases the commission, changes the way it is determined, introduces or tightens liability measures, or lengthens the Hold;
  • no later than 15 days before it takes effect in other cases;
  • on the day of publication, if the amendment improves the Seller's position or is required by law.

Deals paid before the amendments take effect are governed by the previous version of the Agreement and of the Section rules.

The Seller may withdraw from the Agreement at any time by withdrawing its Listings from sale and sending a notice to the support service, or by deleting the account (clause 4.10 of the Rules). The Agreement terminates after open Deals have been completed, Guarantees and the Hold have ended and the Balance has been paid out.

The Operator may withdraw from the Agreement by notifying the Seller at least 5 days in advance, or without prior notice in the event of a material breach of the Agreement by the Seller specified in Appendix 2. Open Deals are completed in the manner set out in clause 13.3 of the Rules.

The provisions of Sections 9, 10, 11 and 14 remain in effect after termination of the Agreement until settlements are completed and disputes are resolved.

Notices and electronic document exchange are governed by Section 16 of the Rules. Actions performed from the Seller's account are deemed to have been performed by the Seller (clause 4.6 of the Rules).

The Seller may not assign its rights under the Agreement without the Operator's consent. The Operator may, by notifying the Seller 15 days in advance, transfer its rights and obligations under the Agreement to a person who will continue to operate the Platform.

The invalidity of any individual term does not affect the remaining terms of the Agreement.
